These Terms govern your access to and use of the Helpful Production website (the “Service”) operated by Helpful Production LLC (“we,” “us,” or “our”). They also apply to proposals, estimates, and contracts for creative production services—including video production, post-production, motion design, and related deliverables—unless superseded by a signed agreement.
Your use of the Service or engagement of our production services constitutes acceptance of these Terms, together with any separate Master Services Agreement, statement of work, or order form you execute with us.
Intellectual Property
Unless otherwise agreed in writing, Helpful Production LLC retains rights in pre-existing tools, templates, and methodologies. Deliverables and custom work product are governed by your project contract: typically, upon full payment, you receive the usage rights described in that agreement. Client-provided assets, logos, and trademarks remain your property.
Creative Production Services
Scope, milestones, deliverables, usage rights, and fees are defined in a proposal or statement of work. You agree to provide timely feedback, approvals, brand assets, and access reasonably required for production (for example, location coordination or review links). Delays in client inputs may shift schedules and costs.
Payment Terms
Fees, deposits, and invoicing schedules are as stated in your agreement. Unless otherwise specified, invoices are due within the period shown on the invoice. We may pause work or withhold final delivery for overdue amounts. Third-party costs (licensed music, talent, specialized rentals, stock footage) are typically billed separately or as estimated pass-throughs, as outlined in writing.
Termination
Either party may terminate a project in accordance with the notice and cancellation terms in the applicable agreement. We may suspend or terminate access to the Service or work in progress for material breach, including non-payment. Provisions that by their nature should survive (ownership, confidentiality, indemnity, limitations of liability) survive termination.
Disclaimer of Warranties
The Service and any informational content on the Site are provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, Helpful Production LLC disclaims warranties not expressly stated in a written contract. Creative outcomes depend on many factors; we do not guarantee specific business results, view counts, or awards unless explicitly agreed in writing.
Jurisdiction and Applicable Law
Except where applicable law requires otherwise, these Terms and any dispute arising from them or from services provided by Helpful Production LLC shall be governed by the laws of the State of Missouri, without regard to conflict-of-law rules. Venue for any permitted court action shall lie in the state or federal courts located in Jackson County, Missouri, unless a signed agreement specifies otherwise.
Changes
We may modify these Terms by posting an updated version on this Site. Material changes may be communicated by email or notice where appropriate. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
